  • These Terms and Conditions govern the use of the website fintom8.comand any free web-based demo tools, validators, and converters provided on this website (hereinafter referred to as "Online Tools").

2. Nature of the Online Tools & Disclaimer

  • "As-Is" Demonstration:The Online Tools provided on this website are offered free of charge, for demonstration, testing, and evaluation purposes only. They are provided strictly on an "as is" and "as available" basis without any warranty of performance, completeness, or continuous availability.
  • No Professional, Tax, or Legal Advice: The Online Tools, outputs, generated files, and validation reports do not constitute tax, accounting, financial, legal, or archiving advice.
  • No Compliance Guarantee: Automated validation and conversion outputs do not guarantee statutory tax compliance (e.g., GoBD, UStG, VAT deduction eligibility) or final acceptance by tax authorities, courts, ERP systems, buyers, or e-invoicing networks (such as PEPPOL).

3. User Obligations and Verification

  • Duty of Independent Verification: You remain solely responsible for reviewing, auditing, and validating the accuracy and completeness of any converted or generated electronic invoices or structured data before relying on them, booking them, or transmitting them to any third party or authority.
  • Lawful Content: You represent and warrant that you hold all necessary rights and authorizations for any files or data uploaded to the Online Tools and that your uploads do not violate third-party rights, confidentiality obligations, or applicable law.
  • Prohibited Conduct: You must not misuse the Online Tools. Specifically, you must not perform automated scraping, inject malware or viruses, execute denial-of-service (DoS) attacks, attempt unauthorized system access, or reverse-engineer the underlying web services.

4. Availability and Service Modifications

  • Fintom8 does not provide any Service Level Agreement (SLA) or uptime guarantees for the website or its Online Tools.
  • Fintom8 reserves the right to modify, restrict, pause, or permanently discontinue any or all of the free Online Tools at any time without prior notice.

5. Intellectual Property

  • All intellectual property rights, copyrights, trademarks, and trade secrets related to the website, the Online Tools, and the underlying algorithms belong exclusively to Fintom8 GmbH and its licensors.
  • You retain all ownership rights to any source files, sample data, and documents you upload.

6. Limitation of Liability

  • Gratuitous Use:Insofar as the Online Tools are provided free of charge, Fintom8's statutory liability is limited to intent (Vorsatz) and gross negligence (grobe Fahrlässigkeit) pursuant to statutory provisions (including principles of § 521 BGB).
  • Mandatory Liability: Nothing in these terms excludes or limits liability for:
    • loss of life, bodily injury, or damage to health;
    • intent or gross negligence;
    • claims under the German Product Liability Act (Produkthaftungsgesetz);
    • fraudulently concealed defects or express guarantees.
  • Breach of Material Obligations: In cases of slight negligence (einfache Fahrlässigkeit), Fintom8 is only liable if a material contractual obligation (Kardinalpflicht—an obligation whose fulfillment is essential to the proper execution of the contract and upon whose compliance the user regularly relies) is breached. In such cases, liability is limited strictly to typical and reasonably foreseeable damages.
  • In all other circumstances, any liability of Fintom8 is excluded to the fullest extent permitted by law.

7. Applicable Law and Jurisdiction

  • These terms and any disputes arising out of or in connection with the use of the website and Online Tools shall be governed exclusively by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and conflict-of-law principles.
  • To the extent legally permissible, the exclusive place of jurisdiction for all disputes shall be the registered office of Fintom8 GmbH (Cologne / Köln, Germany).
